Vendor & Partner Code of Conduct
TOPTIA Agency Enterprises (“TOPTIA,” “we,” “our,” or “us”) values strong relationships with vendors, contractors, consultants, suppliers, nonprofit organizations, financial institutions, strategic partners, and other organizations that support our mission.
This Vendor & Partner Code of Conduct outlines the standards of professionalism, integrity, and ethical conduct expected of all organizations and individuals who conduct business with or on behalf of TOPTIA.
By entering into a business relationship with TOPTIA, you acknowledge and agree to comply with this Code of Conduct.
1. Purpose

3. Compliance with Laws
Vendors and partners are responsible for complying with all applicable federal, state, and local laws, regulations, licensing requirements, and industry standards related to their services.
Nothing in this Code relieves a vendor or partner of its independent legal responsibilities.
4. Ethical Business Practices
TOPTIA expects vendors and partners to:
• Conduct business honestly.
• Avoid deceptive practices.
• Maintain accurate records.
• Avoid conflicts of interest whenever possible.
• Disclose actual or potential conflicts that could affect the business relationship.
• Refrain from bribery, kickbacks, fraud, or other unlawful conduct.
5. Confidentiality
Vendors and partners may have access to confidential or sensitive information.
Such information must be protected and used only for authorized business purposes.
Confidential information may not be disclosed to unauthorized individuals or used for personal gain.
6. Data Protection
When handling personal, financial, business, or confidential information related to TOPTIA or its clients, vendors and partners are expected to maintain reasonable administrative, technical, and organizational safeguards.
Any known or suspected data breach affecting TOPTIA information should be reported promptly.
7. Respectful Conduct
TOPTIA expects all vendors and partners to foster a professional environment free from:
• Harassment
• Discrimination
• Bullying
• Threats
• Violence
• Retaliation
• Abusive conduct
• Unlawful behavior
Respectful treatment of clients, employees, contractors, volunteers, and fellow partners is expected at all times.
8. Human Rights & Fair Labor
TOPTIA encourages vendors and partners to operate in a manner that respects human rights and promotes fair labor practices.
This includes maintaining workplaces that are reasonably safe, free from unlawful discrimination, and compliant with applicable employment laws.
TOPTIA also encourages inclusive hiring practices and equal opportunity where consistent with applicable law.
9. Environmental Responsibility
Where practical and appropriate, TOPTIA encourages vendors and partners to operate responsibly by reducing waste, conserving resources, and complying with applicable environmental laws and regulations.
10. Gifts & Conflicts of Interest
Business decisions should be based on merit, quality, value, and professional judgment.
Vendors and partners should avoid offering gifts, payments, favors, or incentives that could improperly influence business decisions or create the appearance of impropriety.
Any actual or potential conflict of interest should be disclosed to TOPTIA promptly.
11. Insurance & Licensing
Where applicable, vendors and partners are expected to maintain appropriate licenses, certifications, permits, and insurance required to perform their services.
TOPTIA may request documentation verifying compliance before or during the business relationship.
12. Reporting Concerns
Vendors and partners are encouraged to report suspected violations of this Code, unethical conduct, fraud, or unlawful activity involving TOPTIA business relationships.
Reports will be reviewed in good faith and handled as appropriately and confidentially as reasonably possible.
Retaliation against individuals who raise concerns in good faith is prohibited.
13. Noncompliance
Failure to comply with this Code may result in actions including:
• Requests for corrective action
• Suspension of work
• Removal from approved vendor lists
• Termination of contracts or agreements
• Refusal of future business opportunities
• Other actions permitted by applicable law or contract.
14. Policy Updates
TOPTIA reserves the right to revise this Vendor & Partner Code of Conduct at any time.
The most current version will be published on our website and becomes effective upon publication unless otherwise stated.
Continued business with TOPTIA after updates are posted constitutes acceptance of the revised Code.
